Muriel Goldberg-Darmon is a partner in the firm’s Paris office. With more than 20 years of experience in financial markets and financial services in consulting and litigation, her practice focuses on advising listed companies and their managers, investment funds, insurance companies, and financial institutions on a wide range of regulatory and compliance issues, investigations, and corporate transactions.
Muriel has significant experience in investigation, control, and sanction proceedings before the French financial market authority (AMF) and the Banking Authority (ACPR). She regularly advises on matters requiring international cooperation with foreign regulators, including the Securities and Exchange Commission (SEC) and the Financial Conduct Authority (FCA), as well as on cross-border investigations led by the U.S. Department of Justice, including by the Office of Foreign Assets Control (OFAC) and relating to the Foreign Corrupt Practices Act (FCPA), and any subsequent judicial proceedings.
Her transactional experience includes advising on mergers and acquisitions of publicly listed and non-listed companies, financial market transactions, including tender offers, and squeeze outs, and fund raising, including initial public offerings (IPOs), securities issuances, and initial coin offerings (ICOs), as well as on corporate governance, activism, and financial communications matters.
Muriel has been recognized by The Legal 500 in its Stock Market Litigation and Compliance categories in France.
Prior to joining Cohen & Gresser, Muriel was a partner at Dentons (formerly Salans) and then at DLA Piper in Paris. Muriel holds a Ph.D. on the legal aspects of initial public offerings, and she holds Master's degrees (DEA) from the University of Paris II Panthéon-Assas in law philosophy and in business and economic law. Muriel is a lecturer at HEC in Paris regarding investigation, control, and sanction proceedings before the AMF. She is fluent in French and English.
