Adele Hogan is a partner in Cohen & Gresser’s Corporate practice in New York and has deep expertise in FinTech and artificial intelligence. She brings more than 20 years of experience advising clients on complex corporate transactions, including mergers and acquisitions, capital markets offerings, private equity investments, restructurings, and corporate governance matters.
Adele represents public and private companies, financial institutions, private equity sponsors, and boards of directors in high-value, strategically significant transactions across a wide range of industries, including financial services, health care, FinTech, technology, energy, real estate, transportation, and retail. Her experience spans the full life cycle of corporate transactions, including domestic and cross-border M&A, IPOs, SPACs, PIPEs, fund formations, and financings. Adele has also advised on more than 30 restructurings, bankruptcies, and receiverships, and is frequently called upon to counsel boards, investors, and executive teams in high-stakes or distressed situations.
In addition to her transactional practice, Adele advises clients on corporate governance, internal investigations, and regulatory compliance matters involving agencies such as the SEC, CFTC, FINRA, the Federal Reserve, the OCC, and the FDIC. Her work also encompasses issues relating to anti-money laundering (AML), the Bank Secrecy Act (BSA), sanctions (OFAC), the Foreign Corrupt Practices Act (FCPA), data privacy, cybersecurity, and emerging areas such as artificial intelligence, cryptocurrencies, and digital assets.
Adele has led transactions with an aggregate value exceeding $200 billion and has served as a director of two Nasdaq-listed companies. She is also an experienced expert witness in complex litigation matters involving corporate, M&A, and financial issues.
Adele has been recognized by Chambers and included in The Best Lawyers in America. She is a frequent speaker on corporate, regulatory, and emerging technology topics and is active in industry and bar associations.
Prior to joining Cohen & Gresser, Adele was a partner at Broadfield US LLP, where she was also Chair of Securities. She previously practiced at leading international law firms, including Cravath, Swaine & Moore, Linklaters, and White & Case.
